Affiliate Partnership Agreement

Article 1: Definitions

For the purposes of this Agreement:

• "Affiliate Link" - Your unique tracking URL provided upon approval
• "Commission" - Monetary compensation earned through successful referrals
• "Referral" - A customer acquired through your marketing efforts
• "Conversion" - When a referral becomes a paying customer
• "Net Revenue" - Payment received after refunds, chargebacks, and taxes
• "Marketing Materials" - Official content provided for promotional use

Article 2: Commission Structure

2.1 Example Calculation

If you refer a customer who subscribes to the Business Plan (₦25,000/month):

• Your commission per month: ₦5,000 (20% of ₦25,000)
• Your commission per year: ₦60,000
• If they remain for 3 years: ₦180,000 total earnings from one referral

Article 3: Your Obligations

3.1 Promotional Guidelines

You agree to:

• Only use approved marketing materials or create content consistent with our brand guidelines
• Not send unsolicited commercial emails (spam) or use deceptive advertising practices
• Not bid on "QuantixSuite" or related brand terms in paid search advertising
• Not create websites that could be confused with official QuantixSuite properties
• Not engage in cookie stuffing, click fraud, or artificial traffic generation

Article 4: Our Obligations

QuantixSuite agrees to:

• Provide accurate tracking of all referrals through your unique affiliate link
• Calculate and report commissions accurately and transparently
• Process approved payout requests within 1-3 business days
• Provide access to a real-time affiliate dashboard with performance metrics
• Offer support and resources to help you succeed as an affiliate partner
• Give 30 days notice before making material changes to commission rates

Article 5: Payment Terms

5.1 Minimum Payout Threshold

The minimum payout amount is ₦10,000 (ten thousand Naira). You may request a payout once your approved commission balance reaches this threshold.

5.2 Payment Schedule

Payouts are processed on-demand when requested through your dashboard, subject to the following:

• Commissions are held for 30 days after earning to account for potential refunds
• Payout requests are reviewed within 24 hours
• Approved payouts are transferred within 1-3 business days

5.3 Payment Method

Payments are made via bank transfer to your registered Nigerian bank account. You are responsible for providing accurate banking details.

5.4 Taxes

You are solely responsible for reporting and paying any taxes on your affiliate earnings. QuantixSuite may require tax documentation before processing payments where required by law.

Article 6: Cookie Duration & Attribution

6.1 Tracking Period

Your affiliate cookie has a 60-day duration. If someone clicks your link and signs up within 60 days, you receive credit for that referral.

6.2 First-Click Attribution

We use first-click attribution, meaning the first affiliate link a customer clicks receives credit for the referral, regardless of any subsequent affiliate links they may encounter.

6.3 Referral Ownership

Once a customer is attributed to you, they remain your referral permanently. You will earn commissions on all their payments for as long as they remain a QuantixSuite customer.

Article 7: Prohibited Activities

• Self-referrals or referring entities you own or control
• Creating fake accounts or fraudulent referrals
• Using stolen credit cards or facilitating payment fraud
• Misleading or deceiving potential customers
• Spam or unsolicited bulk messaging
• Cookie stuffing or click fraud
• Impersonating QuantixSuite or creating confusing websites
• Any activity that violates applicable laws or regulations

Article 8: Termination

8.1 Voluntary Termination

Either party may terminate this Agreement at any time with written notice. Upon voluntary termination:

• You will receive payment for all approved commissions above the minimum threshold
• Any pending commissions will be reviewed and paid if approved
• Your affiliate link will be deactivated

8.2 Termination for Cause

We may immediately terminate this Agreement without notice if you:

• Violate any term of this Agreement
• Engage in fraudulent or illegal activities
• Damage QuantixSuite's reputation
• Remain inactive for more than 12 months

8.3 Effect of Termination

Upon termination for cause, we reserve the right to forfeit any unpaid commissions. Sections regarding confidentiality, intellectual property, and limitation of liability survive termination.

Article 9: Intellectual Property

QuantixSuite grants you a limited, non-exclusive, revocable license to use our trademarks, logos, and marketing materials solely for promoting QuantixSuite through the affiliate program.

This license terminates immediately upon termination of this Agreement. You may not sublicense, transfer, or assign this license without written consent.

Article 10: Confidentiality

You agree to keep confidential any non-public information shared with you as part of this program, including but not limited to:

• Commission rates and structures
• Conversion data and performance metrics
• Marketing strategies and materials
• Technical information and systems

Article 11: Limitation of Liability

QUANTIXSUITE'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE 12 MONTHS PRECEDING ANY CLAIM.

IN NO EVENT SHALL QUANTIXSUITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF CAUSE OR THEORY OF LIABILITY.

Article 12: Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Agreement shall be resolved through arbitration in Lagos, Nigeria.

Article 13: Amendments

We may modify this Agreement at any time by posting the revised version on our website. Material changes will be communicated via email at least 30 days before taking effect. Your continued participation after any changes constitutes acceptance of the modified Agreement.
